Q·ADVISERS advised Warimpex Finanz- und Beteiligungs AG (“Warimpex” or “the Company” / ISIN AT0000827209) on two bond placings of PLN 89.6mn (EUR 21.4mn). The Company intends to use the proceeds from the offering for the completion of current projects, developing new projects and refinancing existing indebtedness.
On 4th March 2013, Warimpex placed PLN 63.1mn (ca. EUR 15.1mn) of corporate bonds in Poland via a public offering to institutional and retail investors. The bonds have a coupon of 7 % plus 6M WIBOR p.a., payable semi-annually and a maturity of three years. Bonds in the nominal amount of PLN 26.75mn (ca. EUR 6.7mn) were acquired by current bondholders of convertible bonds, who exchanged their convertible bonds, as issued by the Company in 2011, maturing in May 2014. The Series C straight bonds are listed on Bondspot and WSE Catalyst, code WXB0316.
On 28th March 2013, Warimpex issued convertible bonds in the amount of PLN 26.5mn (ca. EUR 6.3mn) via a private placement to qualified investors. The convertible bonds have a maturity of three years and a coupon of 4.875 % p.a., payable semi-annually. The conversion price was set at PLN 7.06 (ca. EUR 1.70) thus granting a right of conversion into or subscription for up to 3,753,541 bearer shares of Warimpex. The convertible bonds are listed on Bondspot, code WXF0316.
